CONVOCATION FOR THE ANNUAL PARISH MEETING
OF EMMANUEL EPISCOPAL PARISH OF ORCAS ISLAND
Our annual parish meeting will be on Sunday February, 27 at 11:30am. Due to the current restrictions on public assemblies, due to the Covid-19 pandemic, our annual meeting will be via Zoom.

We need to have at least 25 “qualified electors” in order to have a quorum. Our parish bylaws clarify that qualified electors are: baptized persons who are faithful in corporate worship, who have received the Sacrament of Holy Communion in the Parish at least 3 times in the preceding 12 months (unless good cause prevented) [The Pandemic is sufficient good cause] and who have a recorded pledge to the support of the Parish with money or with personal service, as determined by the Rector (or if there is none, as shown by the books of the Parish Treasurer. We strongly encourage all “qualified electors” to attend.

Nominations for vestry
We asked for “qualified electors” to consider being nominated to be elected as vestry members in this annual meeting. The Vestry received nominations. These are the qualified electors who have accepted nominations for election to a three year term:
1. George Eberle
2. Stewart Mehlman
3. Anthony Terndrup


The vestry also received the nomination and acceptance as Delegate to Diocesan Convention of
Catherine Ellis and of Deborah Sparks as Alternate to Diocesan Convention.

This year, due to the need to have a virtual annual meeting, we are trying to keep it as simple as
possible and try to avoid the need to vote. The Bishop has encouraged us to strive for unanimous
consent. Nevertheless, there will be an opportunity for nominations from the floor, according to our bylaws. If we have a contested election we will have to have a special way to vote via Zoom using the poll function that will be a bit more complicated.

SPECIAL RULES OF ORDER

1. Preamble
1. These Supplemental Special Rules of Order for Virtual Attendance at Annual Meeting shall supersede the regular Bylaws regarding the holding of the annual meeting of the parish for calendar year 2022.
2. The purpose of these rules is to facilitate the calling and annual meeting of the Parish during the Covid-19 pandemic, since governmental restraints make it impossible to hold a face-to-face physical meeting of the Parish.

2. Connection Information
The meeting will be held via Zoom.

newsletter for the two Sundays prior to the Sunday of the Annual Meeting.

The Secretary will also send a link to the Zoom meeting to every member of the Parish who has provided an email address. The Secretary will send the information via regular mail to all members who have not provided an email address.

3. Opening of Meeting and Quorum
1. Login Time. The Zoom meeting shall begin at least 10 minutes before the start of the meeting. Members may log in through the internet or by calling the phone number provided.
2. Quorum. Those present at the Zoom meeting through internet or phone shall be counted for purposes of determining whether a Quorum exists pursuant to the requirements of the Parish Bylaws, that is of at least 25 qualified electors.

4. Conduct of Meeting
1. Technical requirements and malfunctions. Each member is responsible for his or her audio and internet connections; no action shall be invalidated on the grounds that the loss of or poor quality of a member’s individual connection prevented participation in the meeting.
2. To seek recognition by the Rector, a member shall use the Zoom “raise hand” request and await recognition. If a member is participating by telephone, he or she shall orally state his or her name and await recognition.

4. Motions.
Because the annual meeting will be held via zoom, Motions will not be considered. The purpose of the annual meeting will be to receive reports by title, hear the Treasurer’s Report and respond to questions re the same, and vote for vestry and convention delegates. Any motion that a parish member wishes to present we ask that you share it with the vestry and once we can have an in person gathering we can convene a special parish meeting.

5. Floor Nominations and Voting.
1. Nominations from the Floor. Any persons who have not been nominated in advance of the annual meeting may self-nominate or be nominated by others, by use of the Chat feature if participating via the internet, or by orally stating their name and awaiting recognition. Anyone so nominated shall be a qualified elector and has to confirm their willingness to serve.
2. Votes may occur through unanimous consent if nothing is contested. Other votes shall be taken by the polling function of Zoom if participating via internet. If participating via phone, votes shall be made by speaking aloud your choice.
